Ideerfit Service Agreement
Your use of and access to our services (as defined below) are subject to the following terms; if you do not agree with all of the following, you may not use or access the services in any way.

Please continue reading to understand the rules and restrictions governing your use and access to our website (including https://www.ideerfit.com and our social media spaces and other information collection sources), products, services, and applications (collectively, the “Services”), including but not limited to the Ideerfit application (the “Application”), the Ideerfit online store (the “Store”), the Ideerfit Smart Medication Dispenser (the “Dispenser”), and other services described herein. For the avoidance of doubt, any reference to “Services” shall include but not be limited to (as applicable) our website, Application, Store, Dispenser, and hotspot services. These Terms of Use (hereinafter referred to as the “Terms”) constitute a binding contract between you (the consumer of the Services) (hereinafter referred to as “you”) and Shenzhen Zhanxing Technology Co., Ltd. (hereinafter referred to as “Ideerfit,” “we,” or “us”). You must agree to and accept all the Terms; otherwise, you are not authorized to use the Services and must immediately cease using the Services. Your use of the Services in any manner constitutes your agreement to all these Terms, and these Terms will remain in effect during your use of the Services. These Terms include the provisions of this document, as well as the Privacy Policy, FAQs, Limited Warranty, Return and Cancellation Policy, and User Guide provisions, labels, safety instructions, and other materials that may accompany the Services from time to time.
Please read these Terms carefully. They cover important information about the services provided to you.
What is Ideerfit?
Ideerfit provides home medication management services, including the Dispenser, Application, and other related services. The Dispenser and Application help you and your caregivers (as defined below) manage medications by providing reminders for taking or dispensing medications, regardless of whether the medications are loaded into the Dispenser. The Application may also contain other services from time to time; please read the service descriptions carefully before using them. With your explicit consent, your caregivers will be able to access medication, schedule, and compliance data, as well as other health data you provide to Ideerfit. You may also share this data with your doctor at your discretion. Ideerfit does not provide any medical advice or any medical services. The Services are not intended to replace or substitute the guidance of healthcare professionals. The Services are not intended and should not be construed as the practice of medicine, nursing, pharmacy, or other healthcare services or advice by Ideerfit.
You understand and agree that health information and other content appearing on the Services are for reference only and should not be relied upon for decisions that could affect your health or safety. If you rely on any content on the Services, you do so at your own risk. The Services are not intended to diagnose or treat any disease, nor does the information provided through the Services intend to promote the use of one treatment or medication over another—only your healthcare professional can determine the appropriate treatment plan for you and determine what is safe, appropriate, and effective for your needs. We encourage you to independently verify any content relevant to you from other sources, including your primary care physician or any other healthcare professional, relevant medical associations, and your state’s medical board. You should consult your healthcare provider regarding any medical conditions and consult them about any changes to your condition. Before taking any medication or altering or discontinuing any treatment plan, consult your doctor.
Do not use the Services for emergency medical needs. Do not use the Dispenser or Services to dispense medications needed for serious and life-threatening emergency treatments, as your access to medication may be delayed due to technical and mechanical limitations of the Services. If you experience a medical emergency, call your healthcare professional and 911 immediately.
You may not use the Services in connection with acute, life-threatening events or conditions. You may only use the Services in accordance with these Terms and as described in the instructions provided to you, including any limitations described in the instructions, any other safety labels, inserts, or other publications.
Due to potential human error and/or mechanical and software limitations or malfunctions, Ideerfit cannot guarantee the accuracy of the medications dispensed by the Dispenser or the reminders provided by the Application. You are solely responsible for ensuring a continuous power supply and internet connection required for the operation and use of the Services, as well as the environmental conditions necessary for the operation of your hardware and the Dispenser. In the absence of 120v A/C power, the Dispenser will maintain emergency operation for no more than 48 hours using four internal batteries.
When using the Dispenser, you (or a trusted family member) must verify the type and quantity of pills to be dispensed before placing the medication into the tray to ensure the correct dosage is dispensed and filled. Track the pills in the Dispenser (e.g., by size, shape, color, imprint, or form) to help ensure the dispensed dosage matches the prescribed dosage. If you cannot visually distinguish between different types of pills intended for storage in the Dispenser, do not add these medications to the Dispenser. After properly loading the medication into the Dispenser, store the original prescription and medication bottles in a safe, accessible location for reference, and leave one or more pills in their original container to help identify each pill in case of mechanical or software malfunction with the Dispenser. Soft gels, split pills, gummies, liquid medications, and medications requiring refrigeration should not be stored in the Dispenser. The Dispenser has a limited lifespan depending on various factors, including but not limited to the type and quantity of pills used, the number of times dispensed, and the environmental conditions in which the Dispenser operates. When the Dispenser approaches the end of its lifespan or requires maintenance, or in certain other circumstances, you may experience unsuccessful dispensing. While rare, unsuccessful dispensing may occur. If the Dispenser cannot dispense the full or partial dosage, the Dispenser will typically (but not always) notify you (and your caregiver, if applicable) of the unsuccessful dispensing and inform you of potential solutions, depending on the situation (e.g., assisting manually retrieving your scheduled dosage, contacting Ideerfit, or others). If you experience multiple dispensing failures, you should contact support@ideerfit.com or call (978) 301-3123 (for customers in the U.S. and Canada) to contact our 24/7 live support for further instructions. While unlikely, the Dispenser may fail to notify you of an unsuccessful dispensing, pills may stick together causing extra pills to be dispensed, and pills may spill into other compartments due to improper handling (such as inverting or shaking the device) and/or other device reasons, resulting in incorrect dosage dispensing. Therefore, you must personally verify each dosage before use.
If you are unable or unwilling to use or interact with this dispensing method, or if you believe that doing so would result in taking the incorrect dosage of medication, do not use the Dispenser. You must store the Dispenser and medication in a secure location. If there are children or other individuals who may be harmed by unsupervised access to the medication, the Dispenser should be installed out of their reach, and device password protection must be enabled. The Dispenser is not intended to be a hardened solution for medication safety and should not be used in environments where there is a risk of malicious tampering or theft of the Dispenser (or the medications contained within the Dispenser), or where there is a risk of harm due to the accessibility of medications in the Dispenser. The Dispenser should be stored in a room with a temperature not exceeding 77º F (25º C) and humidity not exceeding 20%. You should not use the Dispenser at altitudes above 8,000 feet. You are fully responsible for any unauthorized access to the Dispenser and your medications. Ideerfit is not responsible for any injury resulting from or related to your use of the Services (even if unauthorized).
Using the Services does not establish a patient-provider relationship.
Your use of the Services does not substitute for the services of qualified healthcare professionals. When you use the Services or the Content, no doctor-patient or patient-provider relationship is established between you and Ideerfit, us.
Regardless of whether such Content is provided by the Services or through communication with Ideerfit in any other form,
You acknowledge that using the Services does not establish a doctor-patient relationship between you and Ideerfit. Ideerfit does not recommend or endorse any medications, pharmacy services, or clinical providers. Ideerfit and/or the Services are not healthcare products or insurance products. Ideerfit is subject to legal regulations and may not be available in certain regions.
You agree to use the Services only for the purposes permitted by these Terms and only to the extent permitted by any applicable law, regulation, or generally accepted practice in the relevant jurisdiction. The Services or any of their features or portions may not be available in all languages or all countries, and Ideerfit makes no representation that the Services or any of their features or portions are appropriate or available for use in any particular location. If you choose to access and use the Services, you do so at your initiative and are responsible for compliance with any applicable laws.
Do these Terms change?
We are constantly trying to improve our Services, so these Terms may
need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the https://www.ideerfit.com website, by sending you an email, and/or by some other means. If you do not agree with the new Terms, you are free to reject them, but unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.
Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.
What if I want to stop using the Services?
You are free to stop using the Services at any time. Please refer to our Limited Warranty, Return, and Cancellation Policy for more information. Ideerfit also reserves the right to terminate (or suspend access to) your use of the Services or your account, or “brick” any Dispenser (making it inoperable), at our discretion, including for any violations of these Terms. Ideerfit is the sole judge of whether you have violated any of the restrictions set forth in these Terms. Ideerfit also reserves the right to refuse any order you place with us. We may, at our discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. If we change or cancel an order, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the order was made. We also reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.
We may choose to discontinue support for certain models of the Dispenser.
As we improve our technology and add new features, we may also periodically replace our Dispenser. If we upgrade all Dispensers, you may be eligible to upgrade to the new Dispenser at a time we determine, which may incur additional costs or require other commitments on your part, subject to the eligibility criteria we set. If you choose to continue using an older model Dispenser or other outdated services, we may, at our discretion, no longer support such older model Dispenser or other services, and we will not be liable for any damages you may suffer as a result. If we have upgraded to a new model of the Dispenser, we also reserve the right to “brick” any older model Dispenser that we no longer support without any liability to you.

What if I have a dispute with Ideerfit?
Dispute Resolution: Please read the following section carefully as it requires you to arbitrate certain disputes and claims with Ideerfit and limits the means by which you can seek relief from us.
Binding Arbitration.
In the unlikely event that you and Ideerfit cannot resolve a dispute through informal negotiations, Ideerfit requires you to resolve your dispute with Ideerfit through binding arbitration. If you wish to begin arbitration against Ideerfit, you must first send a written notice of your claim to Ideerfit via email to legal@ideerfit.com. You and Ideerfit agree that any dispute arising out of or relating to these Terms or the Services (including any claims by or against our officers, directors, employees, or independent contractors) shall be resolved exclusively and finally by binding arbitration. Arbitration will be conducted in accordance with the American Arbitration Association’s (“AAA”) Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes (“AAA Rules”), as modified by these Terms. AAA’s Rules and forms are available at www.adr.org. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of these Terms, including the arbitrability of any dispute, and shall be empowered to grant any relief available under applicable law. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. You and Ideerfit agree that any arbitration under these Terms will take place on an individual basis, that class arbitrations and class actions are not permitted, and that you are agreeing to give up the ability to participate in a class action. If any part of this arbitration provision is deemed invalid, unenforceable, or illegal, then the balance of this provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, or illegal part were not contained herein.
In the event that the arbitration agreement is deemed unenforceable, any legal action related to these Terms or the Services will be brought exclusively in the courts located in New York County, New York, and you consent to the jurisdiction of such courts.
Other Terms.
These Terms and any rights granted hereunder may not be assigned or transferred by you without our prior written consent, but may be assigned or transferred by us without restriction. Any attempted assignment by you will be null and void.
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of New York without regard to its principles of conflicts of law. These Terms constitute the entire agreement between you and Ideerfit and supersede any prior agreements between you and Ideerfit with respect to the subject matter herein. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.
